Welcome to Shared Eye Inc. (“Shared Eye,” “we,” “our,” or “us”).

These Terms of Use (“Terms”) govern your access to and use of our mobile applications, websites, and related services (collectively, the “Services”), including Push Up Counter by SE and any future apps released by Shared Eye Inc.

By downloading, installing, or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, please do not use our Services.

Eligibility

You must be at least 13 years of age to use our Services.

If you are under 18, you may only use the Services with permission from a parent or legal guardian.

Use of the Services

You agree to use our Services only for lawful purposes and in accordance with these Terms.

You may not:

• Copy, modify, distribute, or reverse-engineer any part of the Services;

• Use the Services to violate any law, regulation, or third-party rights;

• Attempt to gain unauthorized access to our systems or data; or

• Use the Services in a way that could damage, disable, or impair their functionality.

We reserve the right to suspend or terminate your access if we believe you have violated these Terms.

Accounts and Data

Most Shared Eye apps (including Push Up Counter by SE) do not require account registration.

If any of our Services do allow or require an account, you are responsible for keeping your login credentials secure and for all activity under your account.

All workout, motion, or preference data processed by our apps is stored locally on your device.

Intellectual Property

All content, software, logos, trademarks, and other materials within the Services are owned or licensed by Shared Eye Inc. and protected under Canadian and international copyright laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes.

You may not reproduce, distribute, or create derivative works based on our Services without written permission.

In-App Purchases and Subscriptions

Some apps may offer optional paid features or subscriptions through Apple’s App Store or Google Play.

All transactions are handled by those platforms, and their terms and refund policies apply.

Shared Eye Inc. does not directly process or store any payment information.

Third-Party Services

Our Services may integrate with or display content from third-party providers (for example, Apple HealthKit, StoreKit, or AdMob).

Shared Eye Inc. is not responsible for the content, functionality, or data practices of third-party services.

Your use of those services is subject to their respective terms and privacy policies.

Disclaimer of Warranties

Our Services are provided “as is” and “as available” without warranties of any kind, express or implied.

We do not guarantee that the Services will be uninterrupted, error-free, or free of harmful components.

You use the Services at your own risk.

Limitation of Liability

To the fullest extent permitted by law, Shared Eye Inc. and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

Our total liability for any claim relating to the Services will not exceed the amount you paid (if any) for using the Service that gave rise to the claim.

Termination

We may suspend or terminate your access to the Services at any time, without notice, if we believe you have violated these Terms or applicable laws.

Upon termination, your right to use the Services will immediately cease.

Changes to These Terms

We may update these Terms periodically.

The latest version will always be available at sharedeye.com/terms-of-use.

Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

Any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the courts of Toronto, Ontario.
